Merger control: Commission approves proposed creation of joint venture by Edison and Hellenic Petroleum

The Commission has cleared the creation of a joint venture by Edison S.p.A. (“Edison”), of Italy, and Hellenic Petroleum S.A. (“HelPe”), of Greece. Edison is active primarily in the generation and supply of electricity and in the production, distribution and supply of natural gas. HelPe is primarily active in the production, refining and trade of, inter alia, crude oil, fuel supplies and oil and gas exploration. Through its subsidiary Thessaloniki Energy SA, it also has operations in the electricity sector. The created joint venture will be active in the Greek market for the generation and wholesale supply of electricity. The Commission concluded that the proposed transaction will not create or strengthen such a dominant market position that would significantly impede effective competition in the EEA or in any substantial part thereof.
