Merger control: Commission approves proposed joint venture between Total Produce and Haluco Beheer

The Commission has cleared the creation of a joint venture whereby Total Produce plc (“Total Produce”), of Ireland, will acquire joint control over TP Haluco, a Dutch fruit and vegetable importer and wholesaler, currently solely controlled by Haluco Beheer BV (“Haluco”), of the Netherlands. The transaction also involves the acquisition of sole control over Haluco UK by Total Produce. TP Haluco and Haluco UK are active, inter alia, in importation and distribution of fresh fruit and vegetables in various EEA countries. Total Produce is also primarily active in importation and distribution of fresh fruit and vegetables in several EEA countries. The Commission concluded that the proposed joint venture will not create or strengthen such a dominant market position that would significantly impede effective competition in the EEA or in any substantial part thereof.
